Unacademy co-founder and test-prep business CEO Sumit Jain to step down ahead of UpGrad merger: report

Sumit Jain, the chief executive officer (CEO) of Bengaluru-based Unacademy’s test-preparation business, is stepping down from his full-time operating role, Moneycontrol reported.

Sumit Jain is also one of the co-founders of the company

This move comes ahead of the company’s proposed merger with upGrad. Moneycontrol cited an internal memo sent by Unacademy cofounder and chief executive Gaurav Munjal.
As per the report, Munjal stated that Jain’s last day of employment in a full-time operational capacity will be June 30. Post which he will remain with the company in an advisory position.

The memo from Munjal read, “Sumit has been a strong support system and a Co-Founder for Unacademy since 2020. And I have personally known him since 2013, when CommonFloor acquired my first company, Flatchat. And more importantly, he has been a dear friend.”

“Sumit built two strong pillars for Unacademy. First is Graphy which is a growing, profitable Business for us. His acquisition of Spayee and then merging it with Graphy and then scaling it was really needle-moving for Unacademy Group. And then he helped make our Offline Business Profitable with a focus on Unit Economics and eventually converting them to Franchisees,” he wrote.

In 2020, Jain joined Unacademy after the firm bought his startup, OpenTalk. Before that, he served as CEO and cofounder of CommonFloor, a real estate site that Quikr later purchased.

Later on, it was in September 2025 that Unacademy had elevated Jain to CEO of its test-preparation business.

This, as mentioned before, comes before the reported merger of Unacademy with Ronnie Screwvala-led UpGrad. UpGrad submitted a merger proposal to the Competition Commission of India (CCI) in order to purchase Unacademy.

It is anticipated that the planned deal will increase upGrad’s visibility in the online test-preparation market, encompassing categories like UPSC, JEE, NEET, and GATE. With regulatory approvals, the merger is anticipated to close by the end of June.
